The deal comes less than a year after Chpter’s co-founders, Tesh Mbaabu and Mesongo Sibuti, left the company to launch Cloud9, turning former founders into the new owners of the startup they helped build.

The acquisition, announced in August 2026, is Cloud9’s second deal in roughly three months. The company previously acquired Kenyan ticketing platform M-Tickets in May for about KES 100 million, or approximately $773,000. Cloud9 has not disclosed the financial terms of the Chpter transaction.

Founded in 2020, Chpter built technology that helps businesses sell and communicate with customers through platforms including WhatsApp, Instagram and Facebook. The company served more than 4,500 businesses and processed over one million transactions before the acquisition. It also raised $1.2 million in pre-seed funding in 2024 from investors including Ventures Platform, Future Africa, Launch Africa and Techstars.

For Cloud9, the acquisition is less about owning another standalone technology company and more about expanding its business-banking proposition. The fintech plans to shut down Chpter’s independent platform and integrate its AI-powered commerce capabilities into Cloud9 Business Banking.

That integration could give merchants access to a broader set of tools from a single platform. Cloud9 already offers financial services including multi-currency accounts, payments and business financial management. Adding Chpter’s commerce infrastructure allows customers to engage buyers, generate sales and manage payments alongside their banking activities.

The strategy reflects a broader shift in African fintech, where companies are increasingly looking beyond traditional banking products. Rather than simply helping businesses store and move money, Cloud9 wants to participate earlier in the commercial process, from customer acquisition and sales to payment collection and cash-flow management.

The deal also provides Cloud9 with an established customer base. The roughly 4,500 businesses that used Chpter are expected to continue through Cloud9’s platform, while employees from Chpter’s product, engineering, customer-success and commercial teams have joined Cloud9. However, Mark Kiarie and Kevin Kuria, who managed Chpter after its original founders departed, will not join the fintech.

Mbaabu has described Chpter as a valuable distribution and engagement layer for Cloud9’s financial products. Instead of spending years rebuilding an existing commerce system, the acquisition gives Cloud9 technology, customer relationships and expertise that can immediately be connected to its banking infrastructure.

Ultimately, the acquisition illustrates Cloud9’s ambition to become more than a digital bank. By combining commerce, payments and financial services, the company is betting that African businesses need an integrated operating platform rather than a collection of disconnected tools.

Kenyan fintech startup Cloud9 has acquired social-commerce company Chpter in an all-stock transaction, bringing together two businesses with an unusual history.
