It also highlights the growing push to connect the continent’s fragmented capital markets.

The Nairobi Securities Exchange (NSE) had been among the regional exchanges considered for a potential cross-listing of the Dangote refinery. Kenya, South Africa, Egypt, Ghana and Rwanda were reportedly part of the original cross-listing plans. However, the current IPO has been restricted to Nigeria, leaving Kenyan investors without a direct NSE route into the offering.

The change has significant implications for potential investors. Business Daily reported that Kenyan investors had been expected to account for as much as Sh64.8 billion ($500 million) of the offering. That participation is now unavailable through the domestic market because the cross-listing has not proceeded.

The NSE has nevertheless continued discussions around future access. According to reporting from The Kenyan Wall Street, NSE chief executive Frank Mwiti said the exchange was discussing a possible Nairobi cross-listing with Dangote, the Nigerian Exchange and Nigeria’s capital-markets regulator. No timetable or approval has been announced.

The interest reflects the scale of the underlying business. The refinery, located near Lagos, has a stated capacity of about 700,000 barrels per day, while Dangote plans to expand capacity further. The company has also become an increasingly important supplier of refined petroleum products to both Nigeria and international markets.

For African capital markets, the IPO presents a broader question: can large companies increasingly raise money from investors across the continent rather than relying on a single domestic exchange?

Cross-listings could help answer that question by giving investors in countries such as Kenya access to major African businesses while giving companies a wider pool of capital. But achieving this requires coordination between securities regulators, exchanges, brokers, custodians and settlement systems.

For now, Kenyan investors remain largely spectators to the Nigerian offer unless they use permitted international or privately arranged investment routes. The official Dangote IPO process itself is being handled through SEC-approved Nigerian receiving agents and electronic application channels.

The immediate Dangote IPO may therefore be a Nigerian capital-markets event, but the interest from Kenya points to something larger: an African investment market that is gradually looking beyond national borders. Whether that becomes a practical reality will depend on how quickly the continent can make its exchanges and financial infrastructure work together.

Kenyan investors are watching Africa’s biggest initial public offering unfold in Nigeria, but efforts to give them direct access to the Dangote Refinery share sale have hit regulatory and timing hurdles.
