KCB had announced in November 2025 that it had agreed to acquire an undisclosed minority stake in Pesapal, but the size of the investment had not previously been made public. The FCC’s notice identifies the transaction as the acquisition of 22.23% of Pesapal’s issued share capital, resulting in indirect control over Pesapal Tanzania.

The value of the transaction has not been disclosed. The deal remains subject to regulatory review, meaning the FCC’s disclosure does not necessarily indicate that the acquisition has been completed. The regulator opened the process to comments from interested parties as it assesses the potential competitive effects of the transaction in Tanzania.

Pesapal operates across Kenya, Uganda, Tanzania, Rwanda and Zambia, providing businesses with payment acceptance and business-management tools. Its services support sectors including retail, hospitality, travel, petroleum, manufacturing and business-to-business commerce. The company’s Tanzanian subsidiary is licensed as a payment service provider.

For KCB, the investment represents another step in its effort to expand beyond conventional banking. The bank has been increasing its exposure to digital payments and financial technology as businesses and consumers increasingly rely on electronic transactions.

KCB said previously that its investment in Pesapal would combine the bank’s financial infrastructure and regional market presence with Pesapal’s technology and payments capabilities. The strategy is particularly relevant to small and medium-sized businesses, which can use digital payment and financial-management tools to accept payments and manage their operations.

The Pesapal transaction also follows KCB’s acquisition of a 75% stake in Riverbank Solutions, a Kenyan payments and business-software company. KCB completed that acquisition in December 2025 after receiving regulatory approval. Riverbank provides payment processing, revenue-collection and business-management infrastructure to organisations including banks, government agencies and retailers.

Together, the investments point to a broader push by KCB into payment infrastructure and digital financial services. Rather than relying exclusively on traditional lending and banking products, the group is building exposure to the systems that enable businesses to collect payments, manage transactions and interact with customers digitally.

The regional dimension is also important. KCB already operates in Tanzania through KCB Bank Tanzania, while Pesapal has an established presence across several East African markets. Combining banking capabilities with a regional payments network could give KCB additional opportunities to serve merchants and SMEs across borders.

The FCC review will determine the regulatory path for the transaction in Tanzania. Until the necessary approvals are completed, the 22.23% stake remains a proposed acquisition.

For KCB, however, the disclosure makes one thing clearer: payments and fintech are becoming increasingly important components of its strategy to build a broader East African financial-services platform.

KCB Group is set to acquire a 22.23% stake in digital payments company Pesapal, giving the Kenyan banking group an indirect interest in Pesapal’s Tanzanian operations and adding another major fintech investment to its regional expansion strategy.
