Reports indicate that the company had explored a potential sale before deciding to close the operation.

The development marks a significant reversal for a business Onafriq acquired in 2021 to expand its reach in Nigeria’s financial services market and extend access to digital transactions beyond traditional bank branches.

Onafriq reportedly entered non-binding discussions with a potential buyer for its agent banking operation earlier in 2026, but the proposed transaction remained unresolved by July. The company ultimately moved towards winding down the business rather than completing a sale. Public reporting has not established the identity of the prospective buyer or disclosed the proposed purchase price.

The unsuccessful sale effort raises questions about the attractiveness of agent banking assets when operating costs rise and profitability becomes harder to maintain. Although an established network can offer distribution reach and customer access, prospective buyers must also consider transaction volumes, agent activity, technology costs and the sustainability of commission-based revenue.

Onafriq entered Nigeria through its acquisition of Baxi, also known as Capricorn Digital Limited, and continued investing in the network through 2023. However, the operating environment changed significantly from 2024.

The company attributed its difficulties to inflation, naira depreciation and increasing operating expenses. The rapid growth of instant account-to-account transfers also changed the types of transactions handled by point-of-sale agents, while intensified competition put further pressure on margins.

These pressures reflect a broader challenge for Nigeria’s agent banking industry. POS operators remain important for cash withdrawals, deposits and payments, particularly in communities with limited access to bank branches. However, digital transfers increasingly allow customers to move money without visiting an agent, potentially reducing demand for some traditional services.

For operators, maintaining a large network requires investment in technology, support, security and agent relationships, even as the revenue generated by individual transactions comes under pressure.

Under its announced wind-down plan, Onafriq said Baxi agents had been transitioned to another principal bank and were asked to transfer their funds to their preferred principal bank within 30 days. Employees whose roles are tied to the operation would also be consulted and supported during the transition.

The company stressed that the decision does not represent a complete exit from Nigeria. It intends to continue operating through its cross-border payments network and card-issuing services.

For Nigeria’s fintech sector, the episode illustrates the difference between acquiring a business and building a sustainable one. A large agent network may offer immediate market access, but long-term success depends on transaction economics, customer behaviour and the ability to adapt to competition.

Onafriq’s unsuccessful sale effort and subsequent shutdown highlight a difficult lesson for fintech investors: distribution scale alone cannot guarantee profitability.

Onafriq’s decision to shut down its Nigerian agent banking business followed an earlier attempt to find a buyer for the operation, highlighting the challenges facing payment companies trying to sustain large offline networks in an increasingly competitive market.
