According to a Bloomberg report published on November 4, Chinese regulatory authorities had made inquiries about OPay shortly before the company abandoned its listing plans.

Although OPay did not officially identify China as the jurisdiction involved, the reported inquiry provides a possible explanation for the sudden suspension of one of Africa’s most anticipated fintech listings.

Before withdrawing the offering, OPay had priced 16 million American depositary shares (ADSs) at $19 each, the lower end of its proposed $19–$21 price range. The transaction was expected to raise approximately $304 million and value the company at around $4 billion.

The company and its underwriters subsequently agreed to terminate their underwriting agreement, meaning its shares would not begin trading as scheduled.

In its official statement, OPay described the inquiry as relating to a jurisdiction considered immaterial to its core business operations. It expressed confidence that the matter would be resolved satisfactorily in the near future.

The company also maintained that the development should not be interpreted as a reflection of its financial condition, operational integrity or regulatory standing.

OPay’s connection to China is largely associated with its founder, Zhou Yahui, a Chinese entrepreneur who also founded technology company Kunlun Tech.

The fintech is incorporated in the Cayman Islands, headquartered in Singapore and primarily serves markets including Nigeria, Indonesia, Egypt and Pakistan.

Its IPO documents reportedly indicated that the company had sought legal advice on whether Chinese overseas-listing regulations applied to its proposed US offering. The documents also acknowledged uncertainties surrounding the interpretation of those rules.

This makes the reported inquiry significant because regulatory questions involving a founder’s connections and overseas listing requirements can introduce additional scrutiny into an international fundraising exercise.

The withdrawal represents a setback for OPay’s ambitions to access international capital markets and could encourage investors to examine the regulatory structures surrounding African technology companies more closely.

OPay, founded in 2018, has grown into a major digital financial services provider, offering payments, transfers, savings and lending services. Its IPO prospectus reported approximately 50 million monthly active users as of July 2026.

Despite the setback, OPay has insisted that its services will continue normally across its operating markets.

The he episode highlights how cross-border regulatory considerations can influence major fundraising decisions, even when a company’s principal operations are outside the jurisdiction conducting the inquiry. For African fintechs seeking international investment, regulatory transparency and clear corporate structures remain essential to building investor confidence.

OPay’s planned entry into the United States stock market has suffered an unexpected setback after a reported regulatory inquiry from China prompted the Nigeria-focused fintech to withdraw its proposed $304 million initial public offering (IPO).
